Terms and Conditions of Sale for Parts
Effective January 1, 2014
Standard Terms of Sale
All sales are final and are subject to the following terms and conditions:
1. Customer Acknowledgment.
Customer acknowledges agreement with these Terms of Sale by the placement of an order to purchase a Product or Service from SUNTRONIX.
2. All Sales Made In Florida.
(a) All sales shall be deemed made in Palm Beach County, in the State of Florida, USA, regardless of the location of the customer.
(b) The customer agrees that any dispute with SUNTRONIX. arising out of the customer’s purchase from SUNTRONIX shall be brought by the customer exclusively in the state or federal courts situated in the State of Florida; and the customer hereby agrees that such venue is appropriate and that SUNTRONIX agreement to sell and deliver products to the customer is dependent on this provision.
3. Purchase Price.
(a) Prices and promotions are listed in SUNTRONIX literature and/or Web site, and are subject to change without notice. Prices for certain governmental, corporate and institutional customers may be set forth in a special discount or other written agreement between the parties.
(b)All payment s are due thirty (30) days from date of invoice(Net 30). Unpaid balances shall bear interest from due date at the rate of 2% per month and not to exceed the maximum lawful limits.
(c)New US and international customers must provide valid credit card or electronic payment via Paypal. Direct bank transfer may be accepted but only from US banks in the 48 continental states.
(d) SUNTRONIX collects sales and use taxes for sales made to residents of the State(s) of Florida. Tax exempt customer will have to provide documents supporting tax exemption status for their organization.
SUNTRONIX shall not be liable for handling or customs charges for shipments outside the United States.
(e)SUNTRONIX may decline at any time either to accept an order, or to ship the goods subject to an order, until SUNTRONIX has received payment in full from Buyer.
4. Shipping Terms.
Shipping terms are: F.O.B. Boca Raton, Florida. SUNTRONIX may arrange payment for shipping with the carrier, but such costs are the responsibility of customer. Risk of loss is upon the customer once SUNTRONIX delivers the product to the carrier. Delivery times are estimates only and SUNTRONIX shall not be liable for delays.
5. Vendor License Agreements.
Customer agrees to abide by all license provisions or end user agreement imposed by the manufacturer or publisher.
6. International.
Products sold by SUNTRONIX, including equipment and software, may be exported from the United States only in accordance with the Export Administration Regulations. Diversion contrary to United States law is prohibited. Customer warrants and represents that it is eligible to receive Products under United States law and agrees to abide by any export or re-export restrictions imposed by the manufacturer or publisher.
7. Limited Warranty.
(a) SUNTRONIX warrants that it has good title to the products it sells.
(b) SUNTRONIX warrants that it will repair or replace a defective unit within the warranty term at its sole discretion subject to limitations set forth in this document.
(c) SUNTRONIX makes no additional or independent warranty term except as specifically stated.
(d) All warranties are void for the following causes:
1) Items returned that are physicaly damage for any reason.
2) Tampering or alteration.
3) Improper use including but not limited to installing equipment without removing shipping safety and security devices for example, collimator shipping bolts.
4) Power Surge damage.
5) Disposable item failure (fuses, lamp bulbs, batteries, etc.)
6)Warranty, support, and any other services provided are not transferable If the sale of a products purchased from Suntronix LLC is scheduled for resale to a foreign country by a third party service company, part broker or private buyer.
8. Limitation of Liability.
In no event shall SUNTRONIX be liable for special, incidental, or consequential damages, including but not limited to loss of profit or opportunity, even if it has been advised of the possibility of such damages. In no event shall SUNTRONIX liability exceed the repair, replacement or cost of the specific product purchased from SUNTRONIX. Some states may not recognize a disclaimer or limitation of warranties and/or limitation of liability so the above disclaimers may not apply. Customer may also have different and/or additional rights and remedies that vary from state to state.
9. Core Exchange Returns Policy and Procedure.
(a)All parts and equipment sold by SUNTRONIX require a Core Exchange Return unless specifically stated by the sales representative or on the invoice.
(b)All Core Exchanges must be the same model/part number as the original part sold unless specifically stated on the invoice. The core must be physically in a repairable condition.
(d) The Core Exchange must be received by SUNTRONIX within 10 business days or the Customer will be billed the full value of the part stated on the invoice and any additional fees related to the unreturned core .
(e) All opened non-defective returns authorized by SUNTRONIX are subject to a 40% restocking fee and must be returned within 10 days from date received.
(f) All unopened returns are subject to a 20% restocking fee and must be returned within 10 days from date received.
(g) Prior to shipping your return, customer must obtain a Return Authorization (RA) number. In order to expedite the process, purchaser must have all the necessary information entered in the RA form provided in your original part package. All Items must be returned within 10 days after receiving your RA number. RA number must appear on the RETURN LABEL on the outside of the package.
10. Defective, Incorrect or Wrong Part Ordered Return
(a) All returns require prior authorization. Returns must be authorized by SUNTRONIX within the Warranty period.
(b)Within three (3) days of purchase, we will replace or refund, at our sole discretion, any product that is deemed defective on arrival.
(c)Special Orders, custom configurations are not returnable for credit or exchange.
(d) All defective part returns must be shipped with a defective part return form supporting the claim of DOA or defective status. No credit will be issued without a signed defective part return form.
(f) All defective, incorrect or wrong part returns must be acceptable by SUNTRONIX and must be undamaged, complete and not tampered with.
11. Exclusive Agreement.
These Terms of Sale represent the complete and final agreement between the customer and SUNTRONIX for the matters set forth herein, and shall be supplemented only by the prices, quantity, and descriptions set forth in SUNTRONIX invoice for the relevant sale. Terms contained in customers’ purchase orders, offers to buy, terms and conditions, and the like shall have no effect without the express written consent of SUNTRONIX.
12. General.
(a) The Terms of Sale and any transactions made under them shall be interpreted by and be subject to the laws of the State of Florida.
(b) In the event any section or portion of a section of the Terms of Sale are deemed unlawful or unenforceable, that section or portion of a section shall be stricken from the Terms of Sale, and the remaining terms shall continue in full force and effect.
(c) SUNTRONIX shall not be responsible for damages or delays resulting from Acts of God, and from other actions, both governmental and otherwise, including but not limited to war, riot, seizure, and embargo.
(d) These Terms of Sale may be modified from time to time by SUNTRONIX sole discretion and without notice, and are current as of the date of the then current web site. Please refer to the current web site. (e) Suntronix shall not award any warranties for parts shipped outside the United States. SUNTRONIX reserve the right to alter this warranty term at any time and at its own discretion based on the purchaser prior relationship history with SUNTRONIX.
13. Errors and Omissions
(a) SUNTRONIX LLC makes every effort to ensure the accuracy of the information published in our literature and on our Web site(s). However, the documents and graphics published on this site may contain technical inaccuracies or typographical errors. SUNTRONIX LLC makes no representations about the suitability of the information and graphics presented on this site. All such documents and graphics are provided “as is”; without warranty of any kind.
(b) If an error is made and a product is listed at an incorrect price, SUNTRONIX LLC shall maintain the right to refuse or cancel any orders placed at the incorrect price. If the order has been confirmed and charged to a credit card, SUNTRONIX LLC shall immediately issue a credit in the amount of the incorrect price.
